Agreement Overview

This Plant Maintenance and Service Agreement ("Agreement") is made between ("Client") and Tevagrow Inc. ("Service Provider"). The Service Provider agrees to lease, service, and maintain living furniture at the Client's location: ,

1. Scope of Services

1.1 Living Walls Installation and Maintenance

  • Tevagrow will provide and install living plant walls and plant towers at the Client’s location.
  • Tevagrow will ensure proper health and upkeep of the living walls, servicing them at least once a month.

1.2 Maintenance Details

  • Maintenance includes watering, pruning, fertilizing, pest control, and other necessary plant care activities.
  • Tevagrow will monitor and ensure the health of the plants, addressing any issues promptly.

2. Term and Termination

2.1 Term

  • This Agreement will commence on: and will continue until terminated by either party.

2.2 Termination

  • Either party may terminate this Agreement at any time with thirty (30) days’ written notice.
  • Upon termination, Tevagrow will remove the living walls at no cost to the Client.
  • A full refund of the security deposit will be provided to the Client within 30 days upon contract termination.

3. Fees and Payment

3.1 Lease and Maintenance Fees

  • The Client agrees to pay Tevagrow a monthly fee of: $300.00 plus GST for the lease and maintenance of the living walls.
  • Monthly lease payments will commence on: , and will continue until either party cancels the Agreement.

3.2 Lease Payment Terms

  • Monthly payments will be automatically charged on the anniversary of your installation date each month.
  • This will continue until you choose to terminate your lease with 30 days’ notice.

4. Security Deposit

4.1 Deposit Amount

  • The Client will provide a security deposit of $300.00 per wall and $300.00 per tower for a total of: $600.00 upon signing this Agreement.

4.2 Payment Terms

  • The security deposit is due and payable on or before the installation date of:

  • The security deposit will be fully refunded to the Client upon termination of the Agreement, provided there is no physical damage to the living walls.

5. Installation and Removal

5.1 Costs

  • Tevagrow will cover the costs associated with the installation and removal of the living walls.

5.2 Damage

  • Any physical damage to the living walls caused by the Client or its representatives may result in additional charges.

5.3 Installation

  • We estimate your installation day to be on or within 2 days of: . Your Account Manager will provide you with an exact day and time 1 week prior to this estimated date.

6. Liability and Indemnification

6.1 Liability

  • Tevagrow is not responsible for any harm caused by the consumption of plants or herbs from the living walls.

6.2 Indemnification

  • The Client agrees to indemnify and hold harmless Tevagrow from any claims, damages, or liabilities arising from the use or consumption of the plants.

7. Miscellaneous

7.1 Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta.

7.2 Entire Agreement

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral.

7.3 Amendments

  • Any amendments to this Agreement must be made in writing and signed by both parties.
